Independent Contractor, Non-Solicitation & Non-Circumvention Agreement

The Notary performs services as an independent contractor. Nothing in this Agreement creates an employment, agency, partnership, or joint-venture relationship. The Notary is not entitled to employee benefits, sets their own availability, may accept or decline any job offer without penalty, uses their own equipment, commission, and remote-online-notarization (RON) platform, and is solely responsible for their own taxes, licensure, commission renewals, and insurance.

The Platform routes notarization session requests (“Jobs”) to the Notary when the Job's state and document class match the Notary's commission state and declared specializations. The Platform automates dispatch, scheduling handoff, session-link routing, and payouts only.

The Notary performs each session on the Notary's own state-approved RON platform. For each accepted Job the Notary creates the session on that platform and supplies the session link to the Platform, which routes it to the signer. The Platform never accesses, logs into, or automates the Notary's RON platform.

The Notary retains sole and complete discretion over the performance of every notarial act, including the duty to refuse any act that would be unlawful under the laws of the Notary's commissioning state. Nothing in this Agreement requires the Notary to perform any act contrary to law.

For twelve (12) months following any engagement introduced through the Platform, the Notary will not solicit, and will not accept, direct engagements from the clients, firms, or title companies introduced to the Notary through the Platform, and will route any such direct request back to the Platform.

For clarity: nothing in this Agreement restricts the Notary from performing notarial services generally — for the Notary's own clients, for other platforms or services, or for anyone not introduced through the Platform. This section protects only the Platform's introductions; it does not limit the Notary's occupation.

The Notary will keep confidential all non-public information received through the Platform — including signer identities, documents, transaction details, and Platform business information — and will use it only to perform Jobs. This obligation does not apply to the Notary's own notarial journal and records, which the Notary keeps and maintains as required by the law of the Notary's commissioning state; where state notarial law and this section conflict, state law controls.

For each completed Job, the Notary will upload the completion evidence the Platform requests — the sealed document and the session record from the Notary's RON platform — so the order's verifiable audit trail remains complete. The Notary maintains their own journal and retains their own records as state law requires.

Payouts are made via Stripe for platform sessions that are completed and pass the Platform's quality review. The Notary will maintain an active Stripe payout account. Notarial-act fees are set and capped by the law of the Notary's commissioning state; Platform payouts relate to completed platform sessions. No amounts are owed for Jobs the Notary declines or that are cancelled before the session.

Either party may end this Agreement at any time, for any reason, by written notice (email suffices). Sections 3 (for its stated 12-month period), 4, and 5 survive termination with respect to engagements and information from before termination.

The Notary will perform all services in compliance with the notarial laws and regulations of the Notary's commissioning state, including RON authorization, identity-verification, and record-keeping requirements. The Platform is a technology coordinator; it is not a notary public, is not a law firm, and does not direct the performance of any notarial act.

If any provision of this Agreement is held unenforceable, it will be limited or severed to the minimum extent necessary, and the remainder of the Agreement will continue in full force.
